SWEEPSTAKES DESCRIPTION:WIN WITH DROP.COM Sweepstakes (the “Sweepstakes”) begins on October 11, 2021 at 12:00:00 a.m. ET and ends on November 10, 2021 at 11:59:59 p.m. ET (the “SweepstakesPeriod”).Participation in the Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes.By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Drop Technologies, Inc. (“Sponsor”), which shall be final and binding in all respects.

ELIGIBILITY:Only legal United States residents of the 50 United States or District of Columbia who are eighteen (18) years of age.Employees, officers and directors of Sponsor, iHeartMedia + Entertainment, Inc. (“Administrator”), and each of their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (collectively, the “Sweepstakes Entities”) and the immediate family members, and/or those living in the same household of each, are ineligible to enter the Sweepstakes or win a prize.Sweepstakes is void where prohibited by law.

HOW TO ENTER:

APP: During the Sweepstakes Period, download or launch the Drop app (“App”) on your mobile device. The App is free, but subject to the Terms of Use (https://www.earnwithdrop.com/terms). Once you have successfully downloaded/opened the App, you will be given the opportunity to enter this Sweepstakes. Follow the links and instructions and include the promo code “FLYWITHDROP” to complete and submit the registration form with the information requested by the Sponsor to receive one (1) entry into the sweepstakes.

The Sponsor’s database clock will be the official timekeeper for online entries in this Sweepstakes.In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible.The Sweepstakes Entities shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes.The Sweepstakes Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

Limit one (1) entry per person and/or per e-mail address.

WINNER SELECTION AND NOTIFICATION:

On or about November 11, 2021, representatives of Administrator will randomly select one (1) potential Sweepstakes winner from among all eligible entries collectively received during the Sweepstakes Period.

The potential Winner(s) will be notified by telephone and/or email, using contact information provided or collected at the time of entry.Sponsor shall have no liability for any potential Winner(s) notification that is lost, intercepted or not received by a potential Winner for any reason.If, despite reasonable efforts, a potential Winner does not respond within 5 business days of the first notification attempt, or if the notification is returned as unclaimed or undeliverable to such potential Winner, such potential Winner will forfeit his or her status as a Winner and an alternate Winner may be selected. If any alternate(s) similarly fails to respond or declines the prize, Sponsor will use a reasonable number of attempts, in its discretion, to award the prize(s) to another alternate(s) but if it is unable to do so, the prize(s) will be finally forfeited and Sponsor shall have no further liability in connection with this Sweepstakes. The odds of being selected as a Winner depend on the number of eligible entries received during the Sweepstakes Period.

PRIZES/APPROXIMATE RETAIL VALUES:

The grand prize “Trip to Anywhere, USA” is the following trip package to and from anywhere in the continental US with a major metropolitan airport (“Grand Prize”):

(a) Round-trip coach airfare within the Continental U.S. for up to two (2) people (the Grand Prize winner and a guest of his/her choosing) via Sponsor’s selected air carrier, between the major metropolitan airport closest to the Grand Prize winner’s residence (as determined by Sponsor in its sole discretion) and the major metropolitan airport closest to the location in the Continental US selected by Winner (as determined by Sponsor in its sole discretion). The Grand Prize winner’s guest must be at least twenty one (21) years of age or be the minor child or legal ward of the Grand Prize winner. The Grand Prize winner is responsible for all inflight charges (e.g., WI-FI, movies, alcoholic beverages, in-flight meals, telephone calls), and any other fees and expenses not specifically mentioned in these Official Rules.

(b) Four (4) consecutive nights’ stay (one standard room, double occupancy; room and tax only) at a hotel selected by Sponsor in its sole discretion. The Grand Prize winner is responsible for all in-room charges (e.g., mini-bar, movies, telephone calls, meals, beverages, gratuities, upgrades, personal incidentals, amenities) and any other fees and expenses not specifically mentioned in these Official Rules. The Grand Prize winner will be required to provide a major credit card upon hotel check-in and all in-room charges will be charged to the credit card. Any damage to the room attributed to the Grand Prize winner or guest will be the responsibility of the Grand Prize winner.

Final details of the Grand Prize trip package will be determined by Sponsor in its sole discretion and administered by Sponsor or Sponsor’s authorized designee. The destination must be selected no later than June 30, 2022, and all travel arrangements must be finalized a minimum of thirty (30) days prior to departure. Sponsor will determine the flight itinerary in its sole discretion. Travel is subject to capacity controls, availability, weather, seasonal influences, and certain other restrictions, all of which are subject to change. Travel must be round-trip. Travel must be completed no later than October 31, 2022, or the Grand Prize will be forfeited in its entirety. Air transportation and hotel accommodations must be taken together and cannot be taken separately. No changes will be made to travel details once any element(s) of the travel arrangements have been booked, except at Sponsor’s sole discretion. All airline tickets issued in conjunction with the Grand Prize are non-refundable/non-transferable and are not eligible for upgrades, frequent flyer miles or any other promotional benefit. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates, checks or similar items once they are in the possession of the Grand Prize winner or guest. All expenses and incidental travel costs not expressly stated in the description above, including but not limited to, round trip transportation between the Grand Prize winner’s residence and any airport of origin, travel insurance, parking fees, tips, baggage fees, security fees, taxes or other expenses or incidentals are the responsibility solely of the Grand Prize winner. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in these Official Rules and those set forth by Sponsor’s selected air travel carrier, as detailed in the passenger ticket contract issued by such air carrier. Sponsor reserves the right to change travel dates as necessary. All costs and expenses not specifically included herein are solely the Grand Prize winner’s responsibility. The Grand Prize winner and his/her guest must be willing and legally able to travel to the Grand Prize destination and are each solely responsible for obtaining any desired or necessary travel documents (including valid government-issued photo identification). Grand Prize winner and guest must travel together on the same dates. The Grand Prize winner hereby acknowledges that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance for any part of the Grand Prize. It is the responsibility of the Grand Prize winner and his/her guest to arrive at the designated airport in time for each flight that is part of the Grand Prize. If the Grand Prize winner is unable to participate in the Grand Prize trip during dates designated by Sponsor, the Grand Prize will be forfeited in its entirety. In the event Grand Prize winner and/or his or her travel companion engage in behavior that (as determined by Sponsor in its sole and absolute discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip early, in whole or in part, and send Grand Prize winner and/or his or her travel companion home with no further compensation. Sponsor bears no responsibility if any element or detail of the Grand Prize is canceled, postponed or becomes unavailable for any reason. Should any event, element or detail of the Grand Prize become unavailable, the Sponsor shall have no obligation to the Grand Prize winner aside from providing the remaining portion of the Grand Prize, minus any unavailable element or detail and no substitution or compensation will be provided for the unawarded elements of the prize.

COVID-19 RELEASE AND WAIVER: Winner understands and agrees that travel will be dangerous due to the Coronavirus (COVID-19) epidemic/pandemic and assumes any and all risks of illness, injury or loss due to such travel. Winner acknowledges that, notwithstanding the safety precautions taken by the air carrier, hotel property, and other providers of travel-related services, it is possible that he/she may still contract Coronavirus (COVID-19). Additionally, winner understands and agrees that, in response to economic and/or social conditions engendered by the Coronavirus (COVID-19), Sponsor may be compelled to modify, postpone or cancel the trip. In all cases, winner releases and agrees to hold harmless Sponsor (as well as the other Released Parties) from any and all liability in conjunction therewith and, in no event, shall Sponsor, (as well as the other Released Parties) have any liability in excess of the indicated ARV of the Trip.

The prize winner and guest must conduct themselves at all times in a socially responsible, respectful and appropriate manner including following all private guidance from a venue operator and other prize suppliers as well as governmental mandates intended and designed to prevent contracting and/or spreading COVID-19/Coronavirus; which may include but are not limited to maintaining social distancing, mask-wearing, testing and may also include quarantine (if mandated).

GRAND PRIZE ARV: The ARV of the Grand Prize is up to $2,500. The ARV may vary depending on the city of departure and fluctuations in airfare charges and hotel rooms. Any difference between the actual value of the Grand Prize and the stated ARV (if less than the actual value) will not be awarded.

Odds of Winning: The odds of winning the prizes depends on the number of eligible Sweepstakes entries received during the Sweepstakes Period.

GENERAL PRIZE CONDITIONS:No cash alternative or prize substitutions will be allowed, except Sponsor reserves the right to substitute prize(s) of comparable value if a prize listed is unavailable for any reason. Prize winner shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize. All potential Winner(s) must sign and return an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”).Any potential Prize winner may have to sign and have notarized additional applicable Prize Claim Documents prior to receiving a prize.

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished by third parties in connection with the Sweepstakes.WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

GENERAL:Acceptance of a prize constitutes prize winner’s permission for Sponsor, Administrator and their designees to use prize winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation.Entrants agree that the Sweepstakes Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.Sponsor assumes no responsibility for any damage to an entrant’s or any other person’s computer system or wireless phone which is occasioned by accessing the Website or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes as contemplated herein. In the event Sponsor is prevented from awarding prizes or continuing with the Sweepstakes as contemplated herein by any event beyond its control, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes.If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select Winner(s) in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination.Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.These Official Rules cannot be modified or amended in any way except in a written document issued by a duly authorized representative of Sponsor.The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

GOVERNING LAW:ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.
